By accessing or using the website at empriza.com or engaging Empriza LLC ("Empriza," "we," "our," or "us") for services, you ("Client" or "you") agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our website or services.
2. Services
Empriza provides AI automation consulting and workflow automation builds for small to mid-sized businesses. The specific scope, deliverables, timeline, and pricing of any engagement will be outlined in a separate written agreement or proposal provided to the Client prior to commencement of work.
3. Client Responsibilities
The Client agrees to:
Provide accurate, complete, and timely information necessary for Empriza to perform services
Maintain proper access credentials to third-party platforms required for automation builds
Review and approve deliverables within agreed timelines
Ensure all third-party tools, software, and platforms used in connection with Empriza's services are properly licensed by the Client
Comply with all applicable laws and regulations in connection with the use of Empriza's services
4. Payment Terms
Payment terms, rates, and schedules will be specified in each individual project agreement or invoice. Unless otherwise agreed in writing, invoices are due within 14 days of issuance. Empriza reserves the right to pause or suspend services on accounts with outstanding balances exceeding 14 days past due.
5. Intellectual Property
Upon receipt of full payment, the Client shall own all custom deliverables created specifically for their project, including automation workflows and website assets. Empriza retains ownership of all proprietary frameworks, methodologies, templates, and tools used in the delivery of services. Nothing in these Terms transfers ownership of Empriza's pre-existing intellectual property to the Client.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of any agreement between the parties. Empriza will not disclose Client business information to third parties without written consent, except as required by law or necessary to perform the services.
7. Limitation of Liability
To the fullest extent permitted by law, Empriza's total liability for any claim arising out of or related to our services shall not exceed the total amount paid by the Client to Empriza in the three (3) months preceding the claim. In no event shall Empriza be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, loss of business, or loss of goodwill, even if Empriza has been advised of the possibility of such damages.
8. No Guarantee of Results
Empriza makes no guarantees regarding specific business outcomes, revenue increases, lead generation results, or performance metrics resulting from the use of our services. Automation tools and AI systems are subject to third-party platform changes, API limitations, and factors outside Empriza's control. We are not responsible for disruptions caused by changes to third-party platforms (including but not limited to GoHighLevel, Make.com, Twilio, or Zapier).
9. Third-Party Platforms
Many of Empriza's services involve integration with third-party software platforms. The Client acknowledges that such platforms are governed by their own terms of service and privacy policies. Empriza is not responsible for outages, policy changes, pricing changes, or discontinuation of any third-party service.
10. Termination
Either party may terminate an ongoing service engagement with 30 days written notice. Upon termination, the Client shall pay for all work completed through the termination date. Empriza reserves the right to terminate services immediately for cause, including but not limited to non-payment, violation of these Terms, or conduct that is unlawful or harmful.
11. Indemnification
The Client agrees to indemnify, defend, and hold harmless Empriza LLC and its members, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to: (a) the Client's use of our services; (b) the Client's violation of these Terms; or (c) the Client's violation of any applicable law or third-party rights.
12. Disclaimer of Warranties
Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Marion County, Indiana.
14. Entire Agreement
These Terms, together with any written project agreement or proposal, constitute the entire agreement between Empriza and the Client with respect to the subject matter herein and supersede all prior discussions, representations, or agreements.
15. Changes to These Terms
Empriza reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
